Taximeter-GPS White Label Apps / TERMS & CONDITIONS

• Your White Label apps are created on the basis of the data that you have entered on our site, or that you have sent to us.
• As long as you haven't requested a review of your setup, you may change all its details as made available to or by you.
• The functionality that is offered corresponds exactly, with the exceptions documented further down, to the functionality that is offered by the public versions of our apps.
  You recognise hereby that you have checked and accepted the functionality before requesting the creation of White Label apps.
• Differences between White Label app and Public app:
  - White Label Passenger Apps will exclusively dispatch trips to your drivers, whereas the public passenger apps send trip requests to all participating companies, including yourself.

• The apps will be created as an adapted copy of the last published public versions, without any additional functionality. Should you require additional functionality, you need to get in contact with us to discuss your requirements.
• When details for the app creation have been setup by you, you have to request a verification by us. You will be informed about the result of such verification and you may have to bring some changes.
• Once your payment has been received, we will start working on the creation of your apps, on the basis of first come, first serve. We will inform you about the estimated deadline for the upload of the apps(s) to Apple and/or Google Appstores.
• If not agreed otherwise, the apps will be published on our Apple and Google stores.
• You need to create an account on Google for directions API: More details here. Payments of Google fees are not included in our pricing and need to be settled directly with Google on their site.
• You need to create an account on HERE, which will be used by the apps for geocoding and route calculation. Your access credentials must be supplied to us. Payments of HERE fees are not included in our pricing and need to be settled directly with HERE on their site.
• We apply a strict no-money-back policy.
• The apps(s) will be created on a best-effort basis. But as is true with all software, it cannot be error-free. Any problem encountered needs to be reported to us and we will make sure to investigate the problem with priority.
• Apple and Google have a verification process in place, which can last an unpredictable number of days. We are not responsible for the additional time that this may take.
• We will make sure that the app submissions will succeed. In case of rejection, we will address the issue and take all necessary measures to get the app published.
• A paid maintenance fee is mandatory for the day-to-day operation of the app. Should the maintenance period run out, the app will be removed from AppStore(s).
• The initial licence fee payment includes one year of maintenance.
• The payment for the development and publishing of White Label app(s) do not include the monthly driver subscription fee.
• You have the responsibility to proceed to a timely renewal of the maintenance period before it expires. We may send you a reminder with sufficient prenotice.
• The maintenance fee includes fixing of bugs in a timely manner. It also includes keeping the app compliant with new iOS or Android versions.
• Functional extensions of the app are not covered by the maintenance fee and require a separate agreement.
• We don't assume any responsibility towards passengers booking trips with you through these apps. It is your responsibility to manage the relationship with passengers using your White Label apps.
• Availability of the app is permanent, exception for server down, no Internet connection or technical problems on the platform.
• We reserve the right to withdraw your app from AppStores in case we receive significant number of complaints from users or for severe misdoing or misuse. Before poroceeding to a removal, we will inform you about such complaints to give you opportunity to remedy to the problems encountered.
